--NCLT Mumbai approves Nerofix's merger with Kansai Nerolac Paints

NEW DELHI – The Mumbai bench of the National Company Law Tribunal Thursday approved the merger of adhesive-maker Nerofix Pvt. Ltd. with Kansai Nerolac Paints Ltd. The bench of judicial member Vinay Goel and technical member Charanjeet Singh Gulati granted sanction to the scheme of amalgamation. Nerofix shall stand dissolved without winding up, and all its assets, properties, rights, licences, contracts, and obligations shall, by operation of law, stand transferred to and vested in Kansai Nerolac Paints as a going concern, without any disruption to business continuity, according to the scheme of amalgamation.

Since Nerofix is a wholly-owned subsidiary of Kansai Nerolac Paints, the entire issued, subscribed, and paid-up share capital of the former is held by the transferee company and its nominee, according to the merger documents. The merger will not result in the issue or allotment of any new shares to the shareholders of Nerofix.

The merger will consolidate the businesses of Nerofix and Kansai Nerolac Paints into a single, integrated entity, and so promote greater synergy, economies of scale, and unified growth and expansion opportunities for the combined enterprise, according to the scheme. The merger will also lead to the integration of business operations and the rationalisation of administrative functions, resulting in the reduction of overlapping costs and duplication of activities.

The amalgamation will further contribute to the reduction and rationalisation of administrative costs and overheads, and facilitate enhanced administrative convenience, thereby improving overall organisational efficiency and enabling better utilisation of managerial and financial resources, as per the merger document. The amalgamation is expected to yield significant operational efficiencies through the pooling of resources, centralisation of control and management, and unified business decision-making, which will ultimately enhance competitiveness, strengthen market presence, and ensure long-term sustainable growth for the combined entity, it said.

Nerofix makes adhesives and construction chemicals. The principal business of Kansai Nerolac Paints is paint. The authorised share capital of Nerofix and Kansai Nerolac Paints is INR 200 million and INR 850 million, respectively. The appointed date fixed under the scheme is Apr. 1, 2025.

At 1127 IST, shares of Kansai Nerolac Paints traded at INR 180.90 on the National Stock Exchange, down 1% from Wednesday.  End
