These terms and
conditions ("Terms") govern your use of the website and mobile
application of Informist Media Private Limited ("the Company").
1. Service
a. The “Service” provided by the Company includes access to news published on its website and on its mobile application. The news service will be available in several “Packages” designed for specific user requirements and which can be subscribed to separately. The term “Service” refers to any and all of these Packages individually and collectively. Any updates, new versions or new releases of the website or mobile application shall also be a part of this Service. By accessing or using the Service, you agree to be bound by these Terms.
b. This Service is available only to end-users who are individuals. This Service is specifically not available for any business, company, organisation, partnership firm, trust or any body corporate by whatever name called. In the Business-To-Business space, Informist news is available only through the NSE Cogencis WorkStation. Outside of the NSE Cogencis WorkStation, Informist news is available to individuals on a Business-To-Consumer basis through the website and mobile app. It is also available to end-users and individuals on a Business-To-Business-To- Consumer basis through tie-ups through platforms such as trading or advisory portals or applications including mobile apps.
c. The Service may be
accessed through https://www.informistmedia.com/ or from the application downloaded from Apple Appstore or Google Playstore.
d. The Company reserves the right to modify or add or delete any Terms of the Service at any time with a seven-day notice. Any such modification will be published on the website and will be adequately identified as a change that can be reviewed by you. If you are a subscriber or a registered user, these changes will be emailed to you for your ease of use. Any such changes to the terms and conditions shall be applicable only after the seven day notice is over. You are bound by the updated Terms, if you continue to use the Service after the updated Terms come into effect.
2. User Account
a. You must be at least eighteen (18) years of age to subscribe to the Service or become a registered user.
b. In order to access certain features of the Service, you will be required to create a user account and/or use the paid version of the Service. You agree to provide accurate, current, and complete information during the registration process. These login details should not be shared with anyone. We will not use these details in any manner except for the purpose of providing the Service to you and to communicate with you as and when required.
b. If you do not
complete the registration process, you will not be able to access those Services
which available to registered and/or paid Subscribers.
c. The subscription price mentioned on our website/mobile app includes all applicable taxes. These taxes will be levied as per the extant tax rate and are subject to change based on governmental regulations. By subscribing to our Service, you agree to be responsible for any taxes, duties, or other governmental charges that may be imposed in connection with your subscription, including any increases in taxes that may occur during the subscription period. We reserve the right to adjust the subscription price to reflect any changes in tax rates or regulations. In such cases, we will notify you in advance of any changes to your subscription price.
d. If you do not complete the registration process, you will not be able to access Service which are available only to registered users and/or paid Subscribers.
e. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. The Company will not be liable in case account credentials are shared by the user/Subscriber.
f. You agree to notify the Company immediately of any unauthorized use of your account or any other breach of security.
g. You agree and accept the terms of the privacy policy, on personal data collection, usage, and data protection. These are available on the same website and mobile app detailed above.
h. If you subscribe to any Service, you agree that your access to the Service is restricted to any one device only at any given point in time. Multiple or concurrent logins or use of subscription on more than one device simultaneously is prohibited. If you login from another device for instance, the previous login will automatically expire.
i. You agree that the subscribed news package is for individual/self-use only and cannot be redistributed or disseminated to any third party or person through any means. The news cannot be redistributed on closed user groups on social media platforms such as WhatsApp, Telegram etc. or on any free-to-view website, platform or product. You specifically understand and accept that any redistribution of any news on a regular and recurring basis, as opposed to a one-off basis, will cause revenue loss to the Company and that the Company reserves all rights to protect its business and commercial interests including through legal means.
j. You agree that any refund for payment made will be applicable only in cases where an organization or institution has inadvertently subscribed to the Service. This refund will be initiated within seven business days from the day the payment has been made. In no other circumstances is the Subscriber eligible for any refund.
k. Further, you agree that you cannot cancel any Service once subscribed for.
l. You agree that you will not reverse engineer, decompile, disassemble, or attempt to derive the source code of the mobile application or the website. You agree and accept that any such action will invite legal action by the Company to protect its business and commercial interests.
m. You agree and acknowledge that the responsibility of internet connectivity or speed lies solely with you. The Company shall not be responsible for any faults, interruptions, or fluctuations in internet connectivity or speed which may affect your access to Service including delays in the news being delivered to you.
n. You understand and accept that the Service is being provided to you on a “as is” and ‘best-effort’ basis using all the skill and care of the Company and its staff. The Company will provide news that it knows and understands to be true and factually correct at the time it is being reported. However, the Company is not liable in any manner for the news it provides and you understand and acknowledge that news developments are dynamic and ever-changing and that the news provided by the Company on a given day may in hindsight not come true as the plans of newsmakers – government, regulators, exchanges, companies, and others – are subject to change and finalization. As such, the Company is not liable for accuracy, timeliness or completeness of the news or for any interruptions in its Service.
o. The Company makes no claims as to the suitability of the Service for any purpose. More specifically you agree and accept that the Company is not liable for any loss of income, profit, loss, whether actual or potential or anticipated, direct or indirect, or for any lost opportunity or business. The Company, its Directors, and employees are not liable for any incidental, indirect, exemplary, consequential or special losses or damages. The Company does not provide any warranty, whether specific or implied, about any results that could be obtained by you by using the Service.
p. You specifically agree and accept that any action you may or may not take on the basis of any news or information or data provided under the Service is solely at your discretion and that you alone are liable for the consequences of such actions. The Company does not provide any advisory service or any transaction service or capability nor does it advise or suggest any course of action to you.
q. You agree to indemnify and hold harmless Informist and its directors, officers, employees and affiliates from any claims, damages, or losses arising from your use of the news service.
r. If you are dissatisfied with any part of the Service, the sole and exclusive remedy is to discontinue using the Service.
3. User Conduct
a. You agree to use the Service only for lawful purposes and in accordance with these Terms.

In the use of the Service, you agree not to:

Violate any applicable laws or regulations.

Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity.

Interfere with or disrupt the operation of the Service or servers or networks connected to the Service.

Engage in any form of automated news collection, including scraping or data mining.
·
Redistribute any news in any form or manner to anyone except an occasional item to a specific person and not to a group or mailing list.
4. Intellectual Property
Rights:
a. All news, information, and data provided through the Service, including but not limited to text, graphics, logos, images, data, tables, software, etc., are owned by the Company or its licensors and are protected by intellectual property laws. The Service is developed, compiled, prepared, arranged, and provided by the Company
b. You are granted a limited, non-exclusive, non-transferable license to access and use the Service and its content for your own individual use only.
c. You agree to notify the Company in writing promptly upon becoming aware of any unauthorized access or use of the Service by any individual or entity or of any claim that the Service infringes upon any copyright, trademark, or other contractual or statutory rights.
5. Assignment:
The Company reserves the right assign its rights or obligations under these Terms, in the event of a merger, acquisition, sale of assets or any restructuring.
6. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India and will be subject to jurisdiction of Mumbai Courts only.
