MUMBAI – Tata Trusts has received a proposal from the Shapoorji Pallonji Group to monetise its stake in Tata Sons Pvt. Ltd., held through Sterling Investments Corp. Pvt. Ltd. and Cyrus Investments Pvt. Ltd. Tata Trusts Chairman Noel Tata presented the proposal at the Tata Sons board meeting on Thursday. Tata Trusts said the proposal is in line with its desire to offer Shapoorji Pallonji Group a fair and equitable solution regarding the group's stake in Tata Sons.

The Shapoorji Pallonji Group holds a little over 18% in Tata Sons. This comes at a time when the Reserve Bank of India rejected Tata Sons' application to voluntarily surrender its certificate of registration, making it necessary for Tata Sons to list. While Tata Trusts, which owns a 66% stake in Tata Sons, opposes the listing, it has been reported that the Shapoorji Pallonji Group would be open to it, as the company is looking to reduce its debts.

The transaction could yield a gross consideration of INR 250 billion to Tata Sons. The share buyout may be carried out in two tranches over 18 months. Tata Sons would start a selective capital reduction process through the National Company Law Tribunal, and the shares would be valued at income tax fair value.

"Noel N. Tata suggested that various avenues could be used for the purpose of raising the funds required for this purpose, including from internal cash flows; sale of listed shares; bringing in an investor into some of the newer businesses and listing, upon an offer for sale, of some of the businesses," Tata Trusts said in a statement.   End
