MUMBAI – There are no discussions taking place by any committee or internally on whether a stock exchange be allowed to include its listed shares in the permitted to trade category on its own platform, Securities and Exchange Board of India Chairman Tuhin Kanta Pandey said Wednesday at an impromptu press conference on the sidelines of a conference organised by the Association of Portfolio Managers in India. The chairman was responding to a question on a comment by National Stock Exchange of India Chairman Srinivas Injeti during the listing ceremony Thursday that a framework to address conflict of interest in own-trading of shares by a stock exchange is feasible.
Companies being listed in the small and medium enterprises and mainboard segments have to comply with continuous listing disclosures requirements and a physical verification of their financial statements and economic activity is well within the means of the regulators, Pandey said in response to a query from Informist on whether there was any truth in rumours of SEBI squads physically raiding offices of SME companies in this connection. Stock exchanges must satisfy themselves of all information being put out by a company at the time of listing and thereafter on a continuous basis, he said.
According to the SEBI chairman, the onus to act first against listed companies is on stock exchanges, particularly when they see risks of any company not being physically present at its registered offices and sites, or not doing any economic activity. In such cases, there are regulatory provisions where delisting can also happen, and these have happened earlier too, he said. But SEBI has said that these must be properly pursued, according to Pandey. The SEBI chairman was emphatic that investors must be able to have confidence on the disclosures by listed companies. End
